Role overview

The Assistant Company Secretary will be responsible for ensuring adherence to corporate governance practices, facilitating effective communication between the Board of Directors, shareholders, and regulatory authorities. The position involves managing board and shareholder meetings, statutory compliance, and guiding the Board in their compliance and governance obligations. This is a pivotal role for ensuring operational excellence and regulatory compliance for a group of private limited companies.

Job description

  • Organize Board meetings with the consent of the Board of Directors and General Meetings of shareholders as required under the applicable regulations.
  • Ensure timely distribution of notices and necessary documents to the Board.
  • Record and maintain minutes of Board and shareholder meetings in compliance with regulatory requirements.
  • Manage the share structure, including share allocation, and ensuring dividend payments/reports for all group companies.
  • Guide and support Board members in fulfilling their duties and complying with applicable laws and regulations of the RJSC.
  • Sign contracts, agreements, and lease documents on behalf of the Company as authorized.
  • Circulate Board decisions to relevant departments for implementation.
  • Maintain organized records of Board and shareholder meeting documents.
  • Guiding the group staff in fulfilling their responsibilities.
  • Promote good corporate governance through monitoring, advising, and reporting.
  • Facilitate the publication and distribution of annual reports and other shareholder communications.
  • Ensure timely submission of regulatory filings, reports, and renewals of licenses and permissions.
  • Liaise with regulatory authorities such as BSEC, DSE, CSE, CDBL, RJSC, and BIDA to ensure compliance and keep the Board informed of statutory changes.
  • Perform any other duties as assigned by the management.

Qualification and experience

Professional Experience:

  • Minimum 5 years of experience in relative field.  

Educational Qualification:

  • Master’s in Business, Law or any other relevant subjects from a reputed university/ institution at home or abroad.
